CANCELATION & REFUNDING POLICY

  1. Either Party shall have the right, without prejudice to its other rights or remedies, to terminate the Agreement immediately by written notice to the other Party in the following circumstances:
  • if the other Party is in material breach of any of its obligations under this Agreement (with the exception of clause 8) and either that breach is incapable of remedy or the other Party fails to remedy that breach within seven (7) days after receiving written notice requiring it to remedy that breach;
  • if the other Party breaches any of its obligations under clause 8 above;
  • if the other Party commits any act of bankruptcy or is unable to pay its debts or becomes insolvent or an order is made or a resolution is made for the administration, winding-up or dissolution of the other Party (otherwise than for the purposes of a solvent amalgamation or reconstruction) or an administrative or other receiver, manager, liquidator, administrator, trustee or similar officer is appointed over all or any substantial part of the assets of other Party or the other Party enters into or proposes any composition or arrangement with its creditors generally or anything analogous to the foregoing occurs in any applicable jurisdiction.
  1. The Client may terminate this Agreement without a cause by giving the Company a prior written notice; in such a case, the Client shall reimburse the Company as follows:
  2. in case the termination notice is served to the Company up to 7 days prior to the first shoot date, the Client shall pay to the Company all third-party supplier cancellation fees imposed on the Company and all pre-production fees incurred up to the date of termination notice service;
  3. In case the termination notice is served to the Company up to 48 hours prior to the first shoot date, the Client shall pay to the Company 75% of the total Fees;
  4. In case the termination notice is served to the Company up to 24 hours prior to the first shoot date (or any time after this point), the Client shall pay to the Company 100% of the total Fees.

 

SUSPENSION & REFUNDING POLICY

  1. The Client may suspend performance of the whole or any part of the Project and/or the Services under this Agreement at any time, immediately upon written notice to the Company provided that the Client will reimburse the Company as follows:
  2. a) in case the suspension notice is served to the Company up to 7 days prior to the first shoot date, the Client shall pay to the Company all third-party supplier cancellation fees imposed on the Company and all pre-production fees uncured up to the date of suspension notice service;
  3. b) in case the suspension notice is served to the Company up to 48 hours prior to the first shoot date, the Client shall pay to the Company 75% of the total Fees;
  4. c) in case the suspension notice is served to the Company up to 24 hours prior to the first shoot date (or any time after this point), the Client shall pay to the Company 100% of the total Fees.
  5. The Company shall promptly recommence the performance of suspended Services within three (3) weeks of receipt of a notice from the Client ending such suspension and the Parties shall agree a new timetable for delivery of the Services in this respect.
  6. In case the Project and/or the Services has been suspended by the Client pursuant to clause 1 above, and that suspension continues for more than two (2) months, the Company has the right to terminate this Agreement without being liable to the Client for any reimbursement.
